Terms of Service

1. Acceptance of Terms

By accessing or using ecomposable.store, ecomposable.app, ecomposable.site, ecomposable.io, and all associated sub-domains (collectively, the "Platform"), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not accept these terms, you cannot use the Platform.


2. Services Overview

Ecomposable provides a modular, composable infrastructure platform designed for creators, serial entrepreneurs, and companies who want to own their digital presence. Our services include:

2.1 Digital HQ + Operations Hub

A fully managed, siloed (or shared) platform that gives you your own Digital Headquarters:

- Infrastructure: Your own cluster, your own data. Deployed on leading cloud providers or on-premises depending on your plan.

- Digital HQ Toolkit: A curated, pre-integrated set of tools including WordPress, CRM, project management, analytics, support, collaboration, and email. Each tool is deployed as part of a single SYSTEM with unified identity, security, monitoring, and backups.

- Unified Identity: Single Sign-On (SSO) across all tools via OpenID Connect. One login for your entire Digital HQ.

- Managed Operations: Automatic updates, security patches, WAF protection, SSL/DNS configuration, monitoring, and backups — handled by Ecomposable.

- Deployment models:

- Siloed: Fully isolated infrastructure dedicated to you (your cluster, your data, your control).

- Shared: Multi-tenant infrastructure with resource isolation. Lower cost, optimized for teams starting their Digital HQ.

2.2 SaaS Launchpad — Software Factory

An industrialized framework and set of tools that enables you to launch and operate your own SaaS products, internal tools, and software ventures without rebuilding the plumbing each time:

- Framework: Reusable Core Infra libraries — auth, security, monitoring, configuration, health checks — pre-wired and battle-tested.

- CI/CD & GitOps: Pipelines built with GitLab. Code commit to production in minutes.

- Multi-environment: dev, staging, pre-prod, production — with environment parity.

- Observability: Full monitoring stack (Prometheus, Thanos, Grafana) with dashboards and alerts out of the box.

- Workflow Orchestration: Schedules, event triggers, webhooks, and business logic automation.

- Dogfood guarantee: Every capability ships on Ecomposable's own Platform before it ships to you. If it doesn't work at scale for us, it doesn't ship.

2.3 Email Module (Listmonk-based)

A fully owned email platform layer for managing subscriber lists, automations, tags, segments, and campaigns — deployed on your Digital HQ. SMTP delivery is provided via a leading third-party provider (e.g., AWS SES). You own your data and platform layer; SMTP infrastructure is a pass-through utility, like cloud hosting.

2.4 Managed Tools & Marketplace

Access to curated open-source and commercial tools (WordPress, Plane, Chatwoot, Baserow, Mattermost, Plausible, Listmonk, and others). Tools are integrated into your Digital HQ and managed by Ecomposable. We may operate as an authorized distributor or billing aggregator for third-party tools, issuing a single consolidated invoice on behalf of vendors.

2.5 Additional Services

Depending on your plan, we may offer:

- Assisted or fully managed migration from existing platforms

- Custom development, integrations, or configuration

- Technical support and consulting

All services are subject to availability and may be offered as add-ons or modules.


3. Account Registration

To use certain features of the Platform, you must create an account. You agree to:

- Provide accurate, current, and complete information during registration.

- Keep your account information up to date.

- Maintain the confidentiality of your credentials.

- Be responsible for all activities performed under your account.

If you suspect unauthorized use of your account, notify us immediately at contact@octensoft.com.


4. Use of the Platform

You agree to use the Platform and all tools available on it in accordance with applicable laws and these Terms. You agree not to:

- Use the Platform for illegal, harmful, or fraudulent purposes.

- Disrupt, overload, or interfere with the operation of the Platform, any tool, or any other user's access.

- Attempt to gain unauthorized access to other users' accounts, data, or systems.

- Reverse-engineer, decompile, or disassemble any Ecomposable proprietary code, libraries, or Framework components, except as expressly permitted by applicable law or license.

- Use the Platform to distribute malware, spam, or content that infringes third-party rights.

- Resell or redistribute Ecomposable infrastructure, Framework, or Toolkit access as a service without our prior written consent.


5. Fees, Pricing, and Payments

5.1 Pricing Model

Ecomposable uses a consumption-based, modular pricing model. Depending on your deployment and services:

- Baseline fee: A fixed monthly fee for your cluster and core platform infrastructure (Siloed plans).

- Consumption fee: A variable fee based on actual cloud resource usage (CPU, memory, storage, network), billed at cloud cost plus a margin.

- Management retainer: A monthly fee for managed operations (updates, monitoring, support).

- Modules: A monthly retainer per activated module or tool.

- Managed tools: A monthly fee per managed tool (WordPress, CRM, analytics, etc.).

- Setup / migration fees: One-time fees for onboarding, custom configuration, or assisted migration (if applicable).

- Shared plans: A flat monthly fee depending on the tier.

Detailed pricing is available on the Platform and may be customized per customer. All prices are excluding applicable VAT.

5.2 Invoicing and Payment

- Fees are billed monthly in advance unless otherwise agreed in writing.

- You are responsible for paying all invoices on time.

- We may use automated payment methods (credit card, SEPA direct debit) or issue invoices depending on your plan.

5.3 Third-Party Vendor Billing

For tools provided by third-party vendors through Ecomposable's aggregator model:

- Ecomposable may issue a single consolidated invoice that includes license fees for third-party tools.

- License fees are passed through to the respective vendor at the applicable rate.

- Ecomposable retains a distribution fee for aggregation, integration, maintenance, and support as specified in the pricing schedule.

- Each tool is governed by its own license terms in addition to these Terms.

5.4 Refunds and Grace Period

- A 14-day grace period applies from the date of initial subscription or from any new billing cycle on annual plans. During this grace period, you are entitled to a 100% refund without conditions or questions asked, provided that no major custom development or one-time services have been performed.

- Outside the grace period, refunds may be granted at Ecomposable's discretion.

- One-time fees (setup, migration, custom work) are non-refundable once performed.

5.5 Price Changes

- Ecomposable reserves the right to adjust pricing with at least 30 days' written notice.

- For managed tools where third-party license fees change, we will pass the change through with the same notice period.

- Your continued use of the Platform after the effective date of a price change constitutes acceptance of the new pricing.


6. Subscription, Suspension, and Termination

6.1 Your Right to Cancel

- You may cancel your subscription at any time by contacting us at contact@octensoft.com.

- Upon cancellation, your access to the Platform and services will be terminated at the end of the current billing period (monthly) or immediately, depending on your plan.

- No lock-in: Ecomposable does not impose technical or contractual lock-in. You own your data and you may export it at any time.

6.2 Ecomposable's Right to Suspend or Terminate

Ecomposable reserves the right to suspend or terminate your access to the Platform:

- Immediately, in case of a material breach of these Terms.

- With 15 days' written notice for non-payment.

- With 30 days' written notice for any other reason, except where required by law or specific agreements.

6.3 Data Export on Termination

- Upon termination, you will have 30 days to export your data. After that period, Ecomposable may delete your data in accordance with its data retention policy.

- We provide export tools for your content and configuration. For siloed deployments, full database exports are available on request.

- Ecomposable is not obligated to assist with data migration after the 30-day export window, except at a fee.

6.4 Effect of Termination

- Upon termination, all licenses granted under these Terms cease, except for clauses that by their nature survive termination (including intellectual property, confidentiality, liability limits, and applicable law).

- Outstanding fees remain due and payable.


7. Intellectual Property

7.1 Ecomposable's IP

All content, design, graphics, technologies, code, libraries, and documentation on the Platform are the exclusive property of Ecomposable and protected by intellectual property laws. This includes, without limitation:

- The Platform infrastructure, orchestration, and management tools.

- The Core Infra Framework and shared libraries used in SaaS Launchpad.

- Documentation, branding, and UI/UX of the Platform.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Platform during your active subscription solely for your internal business purposes. Any unauthorized reproduction, modification, or use is strictly prohibited.

7.2 Your IP

- You retain full ownership of your own content, data, applications, and code deployed on the Platform.

- Code you write using the SaaS Launchpad Framework remains your property.

- We do not claim ownership over your data, your business logic, or your applications.

7.3 Third-Party Tools and Licenses

- Managed tools (WordPress, Plane, Chatwoot, Baserow, Mattermost, Plausible, Listmonk, etc.) are governed by their respective open-source or commercial licenses.

- You are responsible for complying with each tool's license terms.

- For closed-source or proprietary tools offered through Ecomposable, the vendor's license terms apply.

7.4 No Lock-In, No Proprietary Formats

- Ecomposable does not use proprietary data formats designed to trap you.

- Data export is as easy as import. We commit to open standards and interoperability.


8. Service Levels and Uptime

8.1 Availability

- Ecomposable strives for 99.9% monthly uptime for Platform services (control plane, SSO, dashboard) under Siloed plans.

- Tool-level uptime depends on the specific application and its configuration.

- Shared plans may have different SLA targets.

8.2 Maintenance

- Scheduled maintenance windows will be communicated at least 48 hours in advance whenever possible.

- Emergency maintenance (e.g., security patches, CVE remediation) may be performed immediately without prior notice.

8.3 Exceptions

Uptime commitments do not apply to:

- Scheduled or emergency maintenance.

- Third-party service outages (cloud providers, SMTP providers, DNS, etc.).

- Force majeure events.

- Issues caused by your configuration, code, or actions.

8.4 Remedies

If uptime targets are not met under eligible plans, you may be entitled to service credits as defined in a separate SLA agreement or pricing schedule. Service credits are the sole remedy for uptime issues.


9. Data Protection and Confidentiality

- We process your data in accordance with applicable data protection laws, including the GDPR.

- Our Data Processing Agreement (DPA) and Privacy Policy apply in addition to these Terms.

- You are responsible for obtaining any consents required under data protection laws for the use of tools deployed on your Digital HQ (email marketing, analytics, support, etc.).

- Ecomposable may access your infrastructure for maintenance, support, or security purposes under defined operational procedures.


10. Security

- Ecomposable implements industry-standard security measures, including WAF, encryption in transit, automated backups, vulnerability monitoring, and access controls.

- You are responsible for securing your own credentials, managing user access within your tools, and maintaining the security posture of your applications.

- We will notify you of significant security incidents affecting your Digital HQ in accordance with applicable law.


11. Third-Party Services

Ecomposable relies on third-party services to deliver our offering, including but not limited to:

- Cloud infrastructure providers (AWS, GCP, Alibaba Cloud, OVH, etc.)

- SMTP providers (AWS SES, SendGrid, etc.)

- Open-source projects and their respective maintainers

- Payment processors

These third-party services are subject to their own terms and SLAs. Ecomposable is not liable for outages or issues caused by third-party services beyond its reasonable control.


12. Limitation of Liability

- Ecomposable provides the Platform "as is" and "as available." We do not guarantee that the Platform will be uninterrupted, error-free, or perfectly suited to your needs.

- To the maximum extent permitted by applicable law, Ecomposable's total liability arising out of or related to these Terms shall not exceed the total amount paid by you in the 12 months preceding the claim.

- Ecomposable shall not be liable for indirect, incidental, special, or consequential damages, including loss of profits, revenue, data, or business opportunities, except where required by mandatory law.

- Nothing in this section excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable law.


13. Changes to Terms

We reserve the right to modify or update these Terms at any time. Changes will be:

- Published on this page.

- Communicated to active users via email 30 days before they take effect for material changes.

Your continued use of the Platform after the effective date of changes constitutes acceptance of the updated Terms.


14. Applicable Law and Dispute Resolution

These Terms are governed by French law. Any disputes related to these Terms that cannot be resolved amicably will be subject to the exclusive jurisdiction of the courts of Paris, France.
